Inconsistent management — management score 6.3/10
BRL Trust gets one side right and the other wrong. Its best pillar is capital allocation (8.3); the main point of concern is operational delivery (0.0).
2 real estate funds, R$ 4.1 billion under management, 397 unitholders.
BRL Trust DTVM is currently the Brazilian division of the Apex Group, a British conglomerate founded in Bermuda in 2003 with a presence in over 50 global offices. In Brazil, BRL Trust was established in 2005 and was even recognized by ANBIMA as the largest independent fund administrator in the country, with over R$ 330 billion in assets under administration and more than 621 funds in operation. The acquisition by Apex Group was announced in June 2021, approved by the Central Bank, and concluded in March 2023. The entity operates under CNPJ 13.486.793/0001-42, headquartered at Rua Alves Guimarães, 1,212, Pinheiros, São Paulo, and had 197 registered employees at the end of 2024. In the FII universe, it acts exclusively as a fiduciary administrator — it is not a portfolio manager; that function belongs to contracted third parties.
BRL Trust holds CVM authorization via Declaratory Act No. 11,784, dated 30/06/2011, and has operated for over 20 years in the structured funds market. The transition to Apex Group brought standardization of processes and international capital, but also an identity transition: CVM reports already register the entity as "Apex (ex BRL Trust)", which can generate recognition friction for older unitholders. The ultimate controlling party is Peter Burroughes Hughes, a British/Irish citizen — an unusual corporate structure in the Brazilian fiduciary administration segment, which has historically been dominated by local banks and national asset managers.
In the field of governance, the available data is satisfactory: the directors have not accumulated relevant convictions in the past five years, and the estimated legal liability of approximately R$ 38.9 million is residual given the administrator's size. In FTCE11 specifically, the 2024 Financial Statements were approved without qualifications in a unitholders' meeting held on 02/06/2025, and KPMG took over as the fund's independent auditor starting in 2025 — a replacement that raises the standard of external scrutiny. The manager's general rating was set at 6.0 — Reasonable, reflecting operational solidity without a history of proven excellence in active portfolio management.
The only FII registered under BRL Trust's administration in this survey is FTCE11 — Opportunity FII, established in October 1996 and one of the oldest real estate funds in Brazil. With net equity exceeding R$ 3.1 billion and only 114 unitholders (the top two concentrating approximately 60% of the shares), this is a vehicle exclusive to Qualified Investors with virtually null liquidity on the stock exchange.
BRL Trust acts here strictly as a fiduciary administrator: safekeeping, regulatory control, bookkeeping, and convening meetings. Portfolio management is the responsibility of Opportunity Métrica Ltda. (Opportunity group), an advisor with a strong tradition in high-end real estate in Rio de Janeiro and São Paulo. The thesis of FTCE11 is multi-year real estate development: premium projects such as Aretê Toriba, Ybirá, Tonelero, Maria Quitéria, Prudente de Morais, Hotel Bureau Brasília, and Vision Work Live. The return does not come from monthly rents, but from divestment events (sales of units via the PoC method), complemented by CRI revenue and dividends from FII shares. The 1.95% DY reflects this dynamic: irregular distributions, concentrated in semesters of construction phase liquidations.
In September 2025, the advisory fee was reduced to 0.6% p.a., a sign of cost adjustment aligned with the fund's long-term profile.
FTCE11 — and consequently BRL Trust as administrator — makes sense only for Qualified Investors with a 5 to 10-year horizon, tolerance for total illiquidity, and an appetite for a high-end development thesis concentrated in Rio/Brasília/Búzios assets. It is not an adequate vehicle for predictable monthly income, retail FII diversification, or anyone needing liquidity in any intermediate window.
What to monitor: the pace of sales of the Aretê and Tonelero developments (they are the main driver of future distributions); any regulatory changes following the Apex consolidation; and the unitholder composition — any exit move by the top two could force precipitate divestments. The fund's rating of 3.5 (versus 6.0 for the administrator) mirrors exactly this mismatch: BRL Trust fulfills its role well as a fiduciary administrator, but the product itself carries high structural risks that limit its recommendability to the general public.
