Benchmark management — management score 9.5/10
CPV Capital Gestão de Recursos delivers above the market and keeps its word. Its best pillar is unitholder wealth (10.0); the main point of concern is operational delivery (8.3).
1 real estate funds, R$ 14.7 million under management, 898 unitholders.
CPV Capital Gestão de Recursos Ltda. was founded on June 30, 2022, headquartered in the Pinheiros neighborhood of São Paulo, with an additional office in Goiânia/GO. With total estimated AUM of around R$ 104 million (2026), the manager built its reputation in the Midwest structured credit market — where it ranks among the top three FIDC managers in the region. Its only variable income product, RENV11, is a recent and still marginal initiative within a portfolio dominated by FIDCs. By entering the solar energy FII universe in 2024, CPV Asset took on considerable image risk: the fund failed to gain traction, and the market did not buy the narrative.
With just over three years of existence, CPV Capital carries an institutional track record that is still too short for any definitive evaluation. Its nine listed funds include five operational ones (highlighting the Medtech CPV FIDC with R$ 48.42 million and the Navesa FIDC with R$ 47.52 million), three pre-operational, and one cancelled — which, in isolation, already raises a warning flag regarding the ability to scale new products.
RENV11, launched in April 2024, has VORTX Distribuidora as its fiduciary administrator, a name with a solid reputation in the Brazilian market. Operational co-management of the energy assets is performed by Armor Energia (Armor Capital), which is responsible for portfolio analysis, risk management, and technical monitoring of the plants. This division of roles — CPV in financial structuring, Armor in technical operations — is the fund's primary governance safeguard. There are no public records of regulatory incidents or CVM sanctions against the manager to date. The unitholder base stands at just 536 people, and the most recent available management report dates from March 2026.
CPV Asset's historical DNA is structured credit. FIDCs focused on the healthcare sector (Medtech) and agribusiness/commercial operations (Navesa) account for the majority of AUM. The solar energy FII represents an attempt at diversification into real variable income and distributed generation infrastructure — a segment expanding in Brazil, but with regulation still consolidating.
RENV11 has two operational plants: one in Alexânia/GO and another in Mombaça/CE, with a combined capacity of 2.0 MW AC. The contracts are structured as Compensated Energy, with a term of 10 to 15 years and no leverage. The NAV is R$ 14.65 million — a nano-cap fund by any sector metric. The declared DY is 11.92%, but the distribution of R$ 0.08/share exceeded cash earnings in some months, which is a sign of artificial distribution to sustain perceived yield. The share trades around R$ 5.93, down approximately 40% from the IPO — the P/BV of 0.43 is the most discounted in the Brazilian energy FII segment.
The partnership with Armor Energia brings technical competence that CPV Capital would not have on its own. However, the absence of a successful third issuance and new assets in the portfolio suggests that the growth strategy is stalled — the manager has not raised significant new resources for the fund since October 2024.
CPV Capital, as a manager, is suitable only for those who accept high liquidity risk and a minimum horizon of three years. The investor profile that makes sense here is the speculative-qualified one: someone with knowledge of niche FIIs, tolerance for total loss, and independent conviction regarding the solar distributed generation segment in Brazil.
RENV11 with a P/BV of 0.43 may seem attractive to deep value investors, but the discount is not an anomaly — it is the market pricing in real structural problems: a fund without scale, without portfolio growth, and with distributions not fully backed by cash. For conservative investors or those seeking predictable passive income, RENV11 and, by extension, CPV Capital as an FII manager do not qualify.
What to monitor: a successful new issuance with the acquisition of additional plants (a concrete positive sign), ANEEL regulatory changes regarding compensated DG, and any potential merger or incorporation movement with a larger fund — the sole vector for rapid share appreciation in the current scenario.
