Will ALZC11 Cut Its Dividend After the New Unit Offering?

The distribution held at the floor of R$ 0.09 per unit, but management deployed the new capital and began rebuilding reserves.

The fund paid the floor of R$ 0.09 per unit, but generated R$ 0.0968—pocketing the surplus instead of burning through reserves.September 2026 Managerial Report (Doc ID 1356190)

Combining the close of a capital raise with a declining dividend usually spooks individual investors. For the ALZC11 real estate fund, however, the audited September figures offer an important technical relief for anyone fearing a payout bleed.

Sept/26 Distribution R$ 0.0900 Guidance floor maintained
Generated Earnings R$ 0.0968 Retention of R$ 0.0068/unit
CRI Allocation 75% of NAV Idle cash eliminated

What Happened to ALZC11 After the New Offering?

The offering closed successfully, and the cash was deployed immediately. The conclusion of ALZC11's 4th unit offering injected R$ 83.0 million in net proceeds into the fund, lifting its total net asset value (NAV) from R$ 183 million to R$ 250.5 million. The number of issued units rose to 28,174,512, distributed among 11,153 unitholders.

Before this report was released, our published thesis pointed to a concrete risk: the new capital from the offering could sit idle in low-yielding liquidity investments, dragging down the average dividend while the market absorbed the expanded unit base. That is not what happened.

Throughout September, Alianza Gestão executed targeted, incremental purchases of real estate credit notes (CRIs) where the fund already held established positions. As a result, its allocation to real estate debt securities quickly returned to the mark of 75% of net asset value, neutralizing the idle cash risk that typically haunts mid-sized offerings.

Why Did the ALZC11 Dividend Fall to R$ 0.09 per Unit?

The pullback stems exclusively from inflation lag during the winter months. The distribution for September came in at R$ 0.09 per unit, repeating August's figure (R$ 0.09) and falling below the levels seen in June (R$ 0.12) and July (R$ 0.10). The reason lies in the portfolio's structure: 75% of the fund's CRIs are indexed to the IPCA inflation index at an average acquisition rate of 12.12% per year.

CRI contracts feature a standard two-month lag between the calculation of the index by IBGE and the actual payment of interest and principal by borrowers. In July 2026, official IPCA inflation hit 0.07%, slowing down sharply compared to previous months. In August, the economy registered deflation of -0.32%.

Because monetary correction on these securities shrank during that window, the portfolio's distributable yield dropped to R$ 0.0877 per unit in September. To avoid abrupt swings, management anchored the distribution at the guidance floor of R$ 0.09 per unit, noting that October will likely remain at that level due to the deflation felt in August.

What Happened to the Earnings Reserve: Was It Consumed or Did It Grow?

The reserve increased rather than being consumed. This is the most important financial finding in the September managerial report, and it directly contradicts our earlier projection. In our previous analysis, we warned that the fund's accumulated reserve had dropped to nearly zero (R$ 0.0016 per unit) after the July payout, leaving the fund with no cushion to maintain dividends if operational generation fell.

In the September income statement, total revenues exceeded operating expenses, generating R$ 0.0968 per unit on a cash basis. Because the distribution to unitholders was capped at R$ 0.0900 per unit, the positive difference of R$ 0.0068 per unit was retained within the fund to rebuild the contingency reserve.

CRIs: R$ 0.0877 + FIIs and Cash: R$ 0.0191 − Expenses: R$ 0.0100 = Generated: R$ 0.0968

There was an apparent confusion in the table of the manager's original report, which labeled the adjustment line as "Reserve Consumption." However, the cash flow math is unambiguous: gross revenues (R$ 0.1068) minus expenses (R$ 0.0100) left a net result of R$ 0.0968. Retaining R$ 0.0068 made it possible to pay the promised R$ 0.0900 while beginning to rebuild the safety buffer for upcoming periods.

How Did Distributions and the Credit Portfolio Evolve?

Regularity held at the floor even under a deflationary shock. The 12-month track record shows that ALZC11 alternated between intermittent earnings peaks (such as R$ 0.12 in June 2026) and periods of IPCA compression, while consistently maintaining a double-digit dividend yield relative to its screen price.

Ref. Month Distribution Annualized DY Monthly IPCA Portfolio Status
May-26 R$ 0.100 16.0% 0.58% Offering in structuring
Jun-26 R$ 0.120 19.6% 0.16% Semi-annual earnings peak
Jul-26 R$ 0.100 16.4% 0.07% Reserve reduced to R$ 0.0016
Aug-26 R$ 0.090 14.5% -0.32% 4th offering completed (R$ 83 million)
Sep-26 R$ 0.090 14.6% 0.82% 75% allocation and reserve retention

September's robust bounce in IPCA inflation to 0.82% will serve as the primary fuel for recovery starting in November. With the usual two-month reporting lag, the fund's yield tends to move up from the R$ 0.09 floor just as the final quarter of the year closes.

August deflation (-0.32%) anchors the October distribution at the floor, but the strong pickup in September (0.82%) unlocks cash for the following months.

What Changed Regarding Credit Risk and Delinquent CRIs?

Exposure to troubled credits fell as the fund grew. In our previous thesis, we pointed out that the two most serious restructuring operations—the Indústrias Fragnani CRI (under judicial reorganization) and the Casa & Vídeo CRI (under a preliminary injunction)—together accounted for about 1.7% of the fund's net asset value.

With NAV expanding to R$ 250.5 million via the offering, mathematical dilution reduced the relevance of these issues in the consolidated portfolio. The Casa & Vídeo CRI now accounts for only 0.6% of NAV, while the Indústrias Fragnani CRI represents just 0.3% of NAV. Together, they total 0.9%.

In total, the portfolio features 23 active operations. Only four face default proceedings or term negotiations, and the sum total of all these stressed operations does not reach 2.0% of net asset value. This represents a potential loss rate that remains entirely manageable within the safety margin of the portfolio's average yield.

Watch out for residential land developments: Although declared defaults are low, concentration in land subdivision projects rose from 41% to 51% of NAV. This is ALZC11's largest risk exposure, requiring close monitoring of construction progress and the sales velocity of the developers.
Land Subdivisions 51%
Completed Construction 23%
Corporate 15%
Residential Inventory 6%
Project Finance 5%

Is Management Repurchasing Units at a Discount?

Yes, and generating asset value for unitholders who stay in the fund. Alongside integrating the proceeds from the 4th offering, Alianza maintained an active unit buyback program in the secondary market. In September, the fund acquired and cancelled 70,649 units at an average price of R$ 7.37 per unit.

This transaction was executed at a 17.11% discount to the unit's net asset value, which closed the month at R$ 8.89. In practice, each unit acquired below book value transfers wealth directly to unitholders remaining in the fund, permanently raising the per-unit net asset value for continuing investors.

With the market close on 10/21/2026 marking R$ 7.24 per unit, ALZC11 continues to trade at a price-to-book ratio (P/BV) of 0.82—an 18% discount to its underlying assets. Even at the distribution floor (R$ 0.09 per month), this price secures an annualized tax-exempt dividend yield of 14.6% per year, equivalent to a taxable investment yielding 124.9% of the CDI benchmark rate.

What This Means for Current Unitholders

If you held your position and did not participate in the offering, your risk has decreased: defaults now weigh less than 2% on the fund, the offering cash has already been converted into CRIs yielding IPCA+12%, and the fund has started rebuilding reserves. The R$ 0.09 dividend in September and October represents the cyclical floor, not a permanent new reality.

What Should ALZC11 Unitholders Monitor in the Coming Months?

A return to distributions of R$ 0.10 or more will depend on passing through September's IPCA inflation. With the portfolio stabilized and cash deployment complete, investors should anchor their decisions on three clear milestones:

1

October distribution at the R$ 0.09 floor — This reflects the residual effect of August deflation (-0.32%). If the fund pays R$ 0.09 without needing to burn additional reserves, the cash stress test will have been successfully cleared.

2

Pass-through of 0.82% inflation in November and December — The contractual 60-day lag will cause monetary correction revenues to surge at year-end. The operational expectation is a return of the distribution to the range between R$ 0.10 and R$ 0.11 per unit.

3

Progress on land subdivisions (51% of NAV) — With concentration rising to over half the fund in land development projects, any construction delays in assets like Recanto Roselândia (6.6% of NAV) and Urbanes Galápagos (4.9%) will demand heightened attention in quarterly reports.

Verdict: HOLD (Rating 6.0)

The ALZC11 real estate fund has navigated the most delicate phase of its expansion schedule. The new offering scaled the fund to R$ 250.5 million without leaving idle cash, and September's cash generation proved that the R$ 0.09 floor is sustainable while still allowing reserves to grow. Trading at 0.82 times book value and with September's 0.82% inflation pass-through lined up for coming months, the fund remains attractive for aggressive investors willing to tolerate sectoral land development risk in exchange for a tax-exempt yield exceeding 14.5% annually.
