What Happened to RBRP11?
A surprising property sale and a major cash recovery. On September 10, 2026, the real estate fund RBRP11 (RBR Properties) signed a Purchase and Sale Commitment for the full divestment of its 60% stake in the Jacks Rabinovich (JR) Building, located in São Paulo, for a total of R$ 100.5 million. The transaction generated a massive capital gain of R$ 34.4 million, representing an Internal Rate of Return (IRR) of 17.8% per year.
This move completely alters the tone of the thesis we had previously published. Until now, our stance on RBRP11 was "Neutral with High Risk." The fund carried an uncomfortable physical vacancy rate, and we warned that its discount to net asset value (NAV) would only make sense if Patria Investimentos—which took over management of the fund in February 2026—managed to lease the portfolio's two entirely vacant properties, the Venezuela Building in Rio de Janeiro and the Jacks Rabinovich in São Paulo, within a 12- to 18-month horizon.
Instead of facing the grueling process of finding tenants in a still-challenging corporate real estate market, Patria opted for aggressive portfolio recycling. It sold the entire Jacks Rabinovich property to Fortinet Network Security Brasil Ltda. This sale not only removes a 100% vacant asset from the portfolio but also injects substantial liquidity into the fund's cash reserves, unlocking value for unitholders much faster than expected.
How Does the Sale of Jacks Rabinovich Impact the RBRP11 Portfolio?
The sale cleans up the balance sheet and reduces the risk of carrying unproductive assets. The Jacks Rabinovich Building accounted for 11.8% of the fund's net asset value and was 100% vacant. By disposing of this asset, the fund drastically reduces the pressure on its consolidated physical vacancy rate, which had been weighing on market sentiment.
Because the transaction was signed on September 10, 2026, the practical effects of this sale on physical and financial vacancy do not yet appear in the August Management Report (released on September 21, 2026). At the end of August, the fund's physical vacancy stood at 25.7% and financial vacancy at 25.4%. With the conclusion of the JR sale, the portfolio's vacant space shrinks significantly, streamlining the investment thesis.
In addition, the sale reinforces Patria's strategy of focusing on larger-scale, more liquid assets, divesting from positions where the fund holds minority stakes or lower-classification buildings (JR is classified as Class B). The portfolio is now more heavily concentrated in high-quality assets (Classes AA and A), which account for the majority of the fund's potential revenue.
Is RBRP11's R$ 0.35 Dividend Sustainable?
Yes, and it now benefits from a much larger safety cushion. In the August 2026 Management Report, the fund posted a cash result per unit of R$ 0.38, comfortably outpacing the distributed payout of R$ 0.35 per unit (a 92.1% payout ratio). This surplus allowed management to retain R$ 0.03 per unit, raising the accumulated reserve from R$ 0.07 to R$ 0.10 per unit.
This scenario marks a sharp recovery from July 2026, when the cash result had plunged to just R$ 0.11 per unit, forcing the fund to burn through reserves to maintain its distributions. In August, total fund revenue jumped from R$ 2,298,074 (R$ 0.19 per unit in July) to R$ 5,808,833 (R$ 0.48 per unit), driven by extraordinary revenues and the collection of installments from previous sales, such as the Somos building (for which the fund still has R$ 0.8 million to collect).
Patria's management officially maintained its distribution guidance of R$ 0.35 per unit for the entire second half of 2026. With the influx of proceeds from the Jacks Rabinovich sale and the R$ 34.4 million capital gain, the risk of further dividend cuts in the short and medium term has been practically eliminated. The fund now has ample breathing room to sustain and eventually expand its distributions when the capital gain is distributed.
Cash Result Recovery
The cash result per unit jumped from R$ 0.11 in July to R$ 0.38 in August. Total revenue for the period reached R$ 5,808,833, while total expenses totaled R$ 1,178,043, generating a distributable result of R$ 4,630,790.
What Assets Still Make Up the RBRP11 Portfolio?
The fund now holds 5 operational physical assets (following the exit of JR), all located in the state of São Paulo. The fund's real estate portfolio totals 43,684 square meters of Gross Leasable Area (GLA) and counts 22 active tenants. The fund's exposure is heavily concentrated in the high-end corporate office segment.
Below is a detailed breakdown of the fund's real estate assets based on official closing data from August 2026 (still listing JR prior to the formal completion of the sale):
| Asset | Type | Stake | NAV Weight | Physical Vacancy | Class |
|---|---|---|---|---|---|
| River One | Corporate Office | 100.0% | 58.4% | 6.0% | AA |
| Celebration | Corporate Office | 100.0% | 13.5% | 0.0% | A |
| Jacks Rabinovich (JR) | Corporate Office | 60.0% | 11.8% | 100.0% | B (Sold) |
| Delta Plaza | Corporate Office | 51.0% | 9.2% | 31.8% | BB |
| Venezuela | Corporate Office | 100.0% | 4.0% | 100.0% | B |
| Mario Garnero | Corporate Office | 9.0% | 3.0% | 0.0% | A |
As shown in the table, the River One building serves as the fund's primary growth driver, accounting for 58.4% of net asset value and generating an impressive 67.1% of RBRP11's contracted revenue. The second-largest asset is Celebration, representing 13.5% of NAV with zero vacancy. The Venezuela Building, located in Rio de Janeiro, is now the portfolio's only 100% vacant asset, representing just 4.0% of the fund's NAV—which drastically reduces overall portfolio vacancy risk.
What Risks Do Unitholders Still Need to Monitor?
Delinquencies at River One and revenue concentration remain key points of attention. Although the sale of JR brings financial relief, Patria's management still needs to resolve the situation of two delinquent tenants at River One, the portfolio's anchor asset.
According to the August report, management is taking decisive action to address these cases. For one of the delinquent tenants, the fund is already initiating eviction proceedings. In the other case, negotiations for an amicable lease termination are underway. Because River One accounts for 67.1% of the fund's contracted revenue, any fluctuation in payment flows from this property directly impacts recurring earnings.
Another risk factor is the macroeconomic environment. Management highlighted the rising trajectory of gross public debt (which reached 82.5% of GDP in July) and Focus survey expectations, which project 2026 inflation (IPCA) at 5.01% and the Selic rate ending the year at 13.75%. This high-interest-rate environment continues to pressure the brick-and-mortar real estate fund market, as reflected in the 1.5% drop in the IFIX index in August.
Attention to River One Concentration
With River One accounting for more than 67% of the fund's revenue, the delinquency of two tenants requires constant monitoring. The resolution of these legal proceedings and lease termination negotiations will dictate the stability of recurring income in the coming months.
Is RBRP11 a Buy at the Current Price of R$ 50.10?
Yes, the turnaround thesis has become much cleaner and more attractive. With the unit price currently trading around R$ 50.10 and the Net Asset Value per Unit estimated at R$ 78.65, RBRP11 trades at a P/NAV of 0.637. This means investors are buying the fund's office portfolio at a discount of more than 36% relative to the appraised value of the properties.
Previously, we recommended caution because the discount depended on management's ability to lease entire vacant buildings. Now, with the sale of Jacks Rabinovich for R$ 100.5 million, Patria has proven it can unlock value through strategic divestments, generating real capital gains and reducing vacancy without having to go through lengthy and uncertain leasing negotiations.
The fund closed the month with 0% leverage (no financial obligations from asset acquisitions) and with 5% of its net assets in cash—a position that will be substantially reinforced upon the financial settlement of the JR sale. For investors who accept the volatility of the corporate office sector and seek a capital gain thesis backed by an expressively discounted asset value, RBRP11 stands out as one of the most compelling turnaround options under Patria's management.
Rico aos Poucos Verdict
RECOMMENDATION: TACTICAL BUY (Turnaround)
The sale of the Jacks Rabinovich Building for R$ 100.5 million is a watershed moment for RBRP11. It eliminates the risk of carrying a vacant Class B asset, generates R$ 34.4 million in profit, and validates Patria's execution capabilities. The NAV discount of over 36% (P/NAV of 0.637) is now underpinned by robust cash reserves and lower physical vacancy. Recommended for satellite positions by investors seeking capital gains; not recommended for those requiring strictly predictable monthly income free of volatility.
