Desenvolvimento Imobiliário) will stop trading its units on the B3 and move to the CETIP environment (Fundos21), an over-the-counter (OTC) market managed by the B3 itself. The formal announcement was made via a Material Fact published by management on September 30, 2026.
Our previous analysis of BTYU11 already highlighted that the fund's daily liquidity was critical, recording an average volume of only R$ 6.68 thousand per day and an extremely lean base of 809 unitholders. What seemed to be merely an operational trading barrier has now turned into the complete closure of the order book in an open exchange environment.
The full transition to the OTC market will take place within up to 30 days. As a result, investors who trade the asset via a standard home broker will need to adjust how they hold their units in custody to avoid having their assets locked in book-entry accounts.
Until When Can BTYU11 Be Traded on the B3?
Until October 5, 2026. This is the final date set by the administrator (BTG Pactual Serviços Financeiros DTVM S.A.) for unitholders to buy or sell BTYU11 units on the traditional B3 trading session.
After this date, the fund will be delisted from the organized exchange market. Starting the next day, it will no longer be possible to send buy or sell orders through brokerage home brokers in the usual way.
Pay attention to the trading calendar: The last business day to trade BTYU11 units on the B3 is October 5, 2026. Anyone trying to trade after this date will find the ticker blocked in the conventional exchange environment.
Why Did BTG Pactual Decide to Delist BTYU11?
To reduce the gap between the market price and the actual net asset value. In the view expressed by BTG Pactual Gestora de Recursos, moving to the OTC market will allow trades to more closely and directly track the performance of BTYU11's net asset value.
The fund operates in the real estate development sector (residential development projects in partnership with You Inc), allocating capital to the construction and subsequent sale of properties. This model differs from traditional brick-and-mortar FIIs because it does not generate a recurring rental cash flow, but rather cash distributions as projects are completed and sold.
In our previously published analysis, we pointed out that the fund traded at a P/NAV of 0.74 (a 26% discount). At the recent quote of R$ 600.00 recorded on September 29, 2026, compared to a net asset value per unit of R$ 1,007.25 (across a consolidated net asset value of R$ 302 million), the discount on the B3 was substantial. According to management, this pricing asymmetry was amplified by low exchange liquidity, justifying closing the open-market order book.
What Do BTYU11 Unitholders Need to Do Now?

Notice regarding dividends: Even if your units are involuntarily migrated to the book-entry environment due to custody incompatibilities, you will continue to receive your BTYU11 dividends normally in your registered account.
How Will BTYU11 Dividends Be Handled After the B3 Exit?
The income distribution flow remains unchanged in its nature. Changing the trading environment affects exclusively where and how units are traded, without altering the legal structure of distributions to unitholders.
The fund had been paying fluctuating monthly distributions in previous months (such as R$ 0.09 in May 2026, R$ 0.0748 in June 2026, and R$ 0.05 in July 2026). In September 2026, the fund made an unusually large distribution of R$ 5.00 per unit, reflecting its development model, where project sales or partial liquidations of stages generate occasional cash spikes.
With a dividend yield calculated at 12.51% (and 15.85% recorded in the previous thesis), payments will continue to be credited to eligible unitholders' accounts, regardless of whether the fund is traded on the B3 or CETIP.
