XPIN11 Cuts September Dividend to Cover Wind-Down Costs

The real estate fund retained part of its earnings to cover legal and audit expenses for its final liquidation.

In 20 Seconds
  • Lower dividend: R$ 0.33 per unit in September (down from R$ 0.35 in August).
  • Reason: Cash retention to pay for wind-down audits and legal counsel.
  • Book value: Net asset value adjusted to R$ 48.32 following amortizations.
  • Timeline: Delivery of IVBP11 units expected by early 2027.

The dividend fell to R$ 0.33 per unit. The latest report from the real estate fund XPIN11 reveals that management retained roughly 12% of the month's earnings to build a liquidity reserve. This cushion is meant to cover the wind-down expenses—specifically audit and legal advisory fees for the fund's final liquidation.

What Happened to XPIN11's September Dividend?

It dropped from R$ 0.35 to R$ 0.33. Although the fund generated R$ 0.3758 per unit in September, manager inVista Real Estate opted for an 88% payout, holding back the rest in cash. This decision ensures the fund has the financial breathing room to settle the bureaucratic obligations of the liquidation without needing a capital call from unitholders, whose trading has been suspended since July.

It is worth remembering that the R$ 0.85 per unit level paid through much of 2025 and early 2026 is a thing of the past. That figure was supported by gains from selling older properties. Now, the yield reflects only what trickles in from the real estate fund IBBP11 (via IVBP11), the remaining asset in the portfolio following the sale of the physical warehouses.

Why Did the Fund's Revenue Fall So Sharply in This Report?

Total revenue plummeted from R$ 7.99 million in August to R$ 2.78 million in September. This 65% drop is not a sign of widespread vacancies or defaults, but rather the accounting reflection of the portfolio sale. The fund no longer collects direct rents from warehouses and instead receives only distributions from its IVBP11 units.

September 2026 RevenueR$ 2.78M

In addition, the "Properties - Rents" line item turned negative during the month. According to management, this happened due to the pass-through of rents that XPIN11 received but which legally belonged to the new property buyers (IBBP11 and XPLG11) following the deal closing. It is a technical adjustment typical of a wind-down.

How Healthy Are the Properties That Now Back XPIN11?

They are in very good shape, though you are now looking through a "mirror." XPIN11's net assets are now held indirectly through the IBBP11 real estate fund portfolio. Operational metrics for this underlying portfolio show resilience, with physical vacancy at just 1.2% and delinquency under control at 4.5%.

Physical Vacancy1.2%

Historic low for high-end warehouses.

Occupancy98.8%

Nearly all GLA is leased.

Delinquency4.5%

A healthy level for the logistics sector.

The 4.5% delinquency rate is a meaningful improvement from the 16.7% recorded in February 2026, when the fund was still dealing with the Sogefi situation. Because the portfolio was cleaned up and transferred to a larger structure (IBBP11), concentration risk has dropped for unitholders staying with the thesis.

When Will IVBP11 Units Be Delivered to Investors?

The official target is early 2027. The main hurdle is no longer the property sales, which are complete, but rather the 6-month lock-up period imposed by CVM and ANBIMA on IVBP11 units. Because the offering for this new fund was restricted to qualified investors, retail XPIN11 investors must wait out this regulatory window before receiving their units and trading them on the secondary market.

Mar 2026Approval: Unitholders vote to sell assets and liquidate.
Jul 7, 2026Suspension: XPIN11 trading halts on the B3.
Jul 28, 2026Amortization: Partial payment made in XPLG11 units and cash.
Sep 2026Retention: Management begins reserving cash for final costs.
Feb 2027Delivery: Expected lock-up expiration and XPIN11 wind-down.

Until then, investors continue to hold XPIN11 units, which now serve as a shell holding the IVBP11 units. You will keep receiving monthly distributions (such as September's R$ 0.33), but you cannot sell your position on the exchange.

Is the R$ 48.32 Net Asset Value a Cause for Concern?

No, it is simply a reflection of amortizations already paid out. In our previous analysis, net asset value (NAV) stood at R$ 102.65. The drop to the current R$ 48.32 looks alarming at first glance, but it is explained by the R$ 2.52 partial amortization paid in July and, more importantly, the accounting write-down of properties sold below previous book values.

Asset Sales+Amortization Paid=NAV of R$ 48.32

Investors should focus on the target deal value, which at the time of approval was roughly R$ 85.19 per unit (accounting for what has already been paid and what will arrive in IVBP11 units). The current NAV of R$ 48.32 represents what remains inside the fund to be distributed as new vehicle units and final cash balances.

What This Means for Unitholders

If you are one of the 35,843 unitholders, your only option is to wait. Because trading is suspended, liquidity is zero. The drop in the dividend to R$ 0.33 is marginal and protects the fund against unexpected wind-down liabilities. The remaining risk is purely a matter of timing (delays pushing past February 2027) and market pricing (whether IVBP11 units trade at a discount once trading opens).

1

Lock-Up Expiration — Watch for material facts in February 2027. Any delays here are a warning sign.

2

IBBP11 Distributions — XPIN11's yield now depends on IBBP11 (which paid R$ 0.084 per unit in September). If distributions fall there, they drop here.

3

Wind-Down Costs — Cash retention should continue in the coming months. Do not expect a return to R$ 0.35 anytime soon.

Rico aos Poucos Verdict: HOLD (Mandatory)

There is nothing to do except wait for the outcome. The exit event thesis remains on schedule despite the slight dip in distributions to cover operating expenses. The underlying portfolio (IBBP11) is healthy, which provides confidence that the value delivered in 2027 is backed by quality real assets. The verdict remains Neutral with High Risk due to a total lack of liquidity until early next year.
