About AF Invest Real Estate

Kinea AF Invest Real Estate is the real estate and structured credit arm of the Araújo Fontes / AF Invest ecosystem, a Minas Gerais-based group founded in 2006 and today the largest independent asset manager in Minas Gerais, with approximately R$ 2–3 billion in total AUM. The entity dedicated to FIIs was established as an independent asset manager in December 2022 (CVM registration no. 20.475, CNPJ 43.946.902/0001-28), in a corporate restructuring that separated the vehicle from the holding company (CNPJ 03.226.533/0001-84) while preserving the same technical team. Under the leadership of Lucas Costa Araújo (responsible director), Rafael Giaretta, Pedro Canton de Oliveira, and Igor Pinheiro Silveira, the manager currently oversees two listed funds — AFHI11 and AFHF11 — totaling approximately R$ 506 million under management.

Track record and governance

The reputational backing comes from the group: Araújo Fontes accumulates 36 years of history, over 250 M&A transactions, and more than R$ 2 billion in structured CRIs/CRAs in the last twelve months alone. This pedigree in Debt Capital Markets is the most relevant operational differentiator: the manager originates its own structures (such as the Pernambuco Construtora operation set up for AFHF11) instead of simply buying off-the-shelf paper in the secondary market.

Governance relies on first-tier independent administrators — BTG Pactual for AFHI11 and Banco Daycoval for the administration and custody of AFHF11 —, separating management from resource custody. The most recent corporate event is the 8th issuance of AFHI11 (up to R$ 80 million, automatic procedure under CVM Res. 160, best efforts), coordinated by Araujo Fontes Consultoria itself, enabled by the slight market premium (P/BV ~1.03), which respects the historical commitment not to issue below book value.

Strategy and funds under management

Viewed together, the two funds form a risk ladder within the same real estate credit DNA. AFHI11 is the flagship: a "pure-blood" paper FII, a portfolio of ~R$ 436 million across about 70 CRIs distributed over 13 segments (Essential Retail 24.8%, Development 21.4%, Shopping Mall 10.9%, Logistics 10.2% and others), with zero default and 60 months of history. AFHF11 is the young and more aggressive sibling — a multi-strategy real estate hedge fund (88.6% CRI, 9.8% FII, 1.6% cash) that rotates between CRIs, FIIs, real estate equity, and stocks according to the cycle.

Earnings consistency is the guiding thread: AFHI11 delivers a DY around 12.5% recurrently, while AFHF11 appears with 11.3% to 15.6% (the divergence between the market figure and the internal figure reflects the fund's youth and smaller scale). In both, management practices spread compression with tactical exits that generated annualized IRRs of 14% to 33% — Rochaverá, Yoshii, Almeida Júnior, Pátio Limeira, FGR, and the CLIN11 FII. There is, however, evident quality dispersion in the ratings: AFHI11 (7.7, manager 8.0 "Very Good") is clearly more mature than AFHF11 (6.6, manager 7.8), which still needs to prove scale and liquidity.

Strengths and points of attention

  • Rare alignment of interests: distribution costs paid by the manager in the 7 issuances of AFHI11 (zero cost dilution for the unitholder), a total fee of 1.0% with no performance fee, and a commitment not to issue below BV.
  • In-house DCM origination inherited from 36 years of M&A and structuring, with over R$ 2 billion/year in assembled CRIs — an access advantage that few independent managers have.
  • Impeccable credit history: zero default in ~70 CRIs and 100% compliance also in AFHF11, suggesting rigorous selection and robust guarantees (fiduciary assignments, sureties, reserve funds).
  • Pulverized and loyal unitholder base: 32,625+ unitholders in AFHI11.
  • Mandate concentration: only two funds, both in real estate credit — there is no asset class diversification to dilute a potential shock in the CRI market.
  • Unequal scale: AFHF11 has only ~R$ 51 million in NAV and 856 unitholders, which implies lower liquidity and the risk of the fund remaining under-scaled.
  • Temporary dilution per issuance: the 7th issuance of AFHI11 pressured the DPS (R$ 1.01) in the short term, and the 8th (R$ 80 million) repeats the vector.
  • Short track record of the autonomous entity: as a CVM-registered manager, it has been a little over three years — reputation still relies mostly on the parent group.

For which investor it makes sense

AF Invest Real Estate is a specialized and well-aligned real estate credit house, suitable for income investors looking for paper FIIs with real active management and a friendly cost structure. For the more conservative profile, AFHI11 is the natural gateway: mature, liquid, pulverized, and with mixed IPCA+/CDI+ protection. The investor who tolerates more risk and accepts lower liquidity can look at AFHF11 for its multi-strategy flexibility and the convexity of the long IPCA+ portion (duration ~4.86 years) in a potential Selic cut cycle in 2026. What to watch: the pace and pricing of new issuances (so that DPS dilution is only temporary), the evolution of AFHF11's scale and liquidity, and the maintenance of zero default if the credit cycle turns. Analytical coverage, with no purchase recommendation.
