About Genial Gestão

Genial Gestão Ltda., the illiquid assets arm of Grupo Genial (Banco Genial S.A.), once managed around R$ 17.6 billion in real estate funds (Anbima Ranking Apr/2026) and approximately R$ 54.9 billion consolidating FIIs, FIDCs, and FIPs. With declared expertise in shopping centers, corporate office buildings, logistics, residential, and urban income, the manager ranked among the largest alternatives houses in Brazil—until announcing, in May 2025, the sale of virtually its entire portfolio of listed FIIs to Patria Investimentos.

Track record and governance

Genial Gestão is the direct heir to Plural Gestão, the structured funds vehicle of the former Banco Plural, which was absorbed by Grupo Genial. This trajectory explains why several FIIs still carry the "PL" prefix (PLCR11, PLCA11) or were renamed over time (GLOG11 was PLOG11). Fund administration and custody have always remained in-house at Banco Genial S.A.—a structure that reduces operational friction but concentrates governance risk in a single economic group.

On 05/22/2025, Banco Genial announced a binding agreement to transfer the management of six FIIs to Patria Investimentos (MALL11, BPFF11, PLCR11, SPTW11, GLOG11, and PLCA11), in a block valued at ~R$ 2.5 billion in assets. The transaction depended on approval from CADE and unitholder meetings, concluded throughout the second half of 2025 and early 2026. According to CEO André Schwartz, the transaction took place at an "opportune moment of sector consolidation" and the capital would be reinvested in Grupo Genial's other businesses.

Strategy and funds under management

With the transfer to Patria concluded, the only FII still under Genial Gestão's management was GLOG11 (Genial Logística)—and even this was heading toward wind-down. GLOG11 is a single-asset logistics micro-FII: it held 50% of Parque Logístico Pernambuco (PLPE), in Ipojuca/PE (9 km from the Port of Suape), co-owned with VILG11.

The fund's trajectory was turbulent: tenant departures in 2025 (CT Distribuição and Supporte), occupancy recovery to 100% in Feb/2026, and, finally, VILG11's proposal to buy GLOG11's stake in the asset. On 05/07/2026, the meeting approved the sale for R$ 56.177 million (cash payment) and the consequent liquidation of the fund. The amortization payment to unitholders is scheduled for 07/30/2026, with the amount disclosed on 07/23.

Strengths and points of attention

  • Scale and expertise in alternatives: Genial Gestão accumulated decades of know-how in illiquid assets (FIIs, FIDCs, FIPs), with consolidated AUM that reached ~R$ 55 billion and recognized real estate origination capacity in the market.
  • Transparent outcome for GLOG11: Liquidation was deliberated at a meeting with a sale price close to NAV/unit, delivering a modest premium to the unitholder while avoiding the worst-case scenario of a small, illiquid fund with no growth prospects.
  • Manager in wind-down: The exit from the listed FII segment is definitive. GLOG11 was the last listed vehicle; with its liquidation, Genial Gestão no longer has an active presence on B3 in this segment.
  • Concentration and single-asset: GLOG11 never had a diversified portfolio—a single property, a single predominant tenant, NAV of ~R$ 82 million, and only ~1.5 thousand unitholders. The fragility of this model was exposed during the vacancy crises of 2025.

For which investor it makes sense

Genial Gestão, in its role as a listed FII manager, is no longer an active allocation option. The only remaining fund is in the final stage of liquidation (payment scheduled for 07/30/2026). For those who still hold GLOG11 units, the guidance is to follow the amortization schedule and the fund's official communication—there is no "buy or sell" decision; the liquidation event has been consummated. The new manager of the former Genial FIIs is Patria Investimentos, a house with ~R$ 26 billion in real estate and a broader track record.
