CSN Cimentos: CSNA3 Sells Assets to Huaxin for R$ 12.7 Billion—What It Means for the Company and the Market [CSNA3]

The deal with China's Huaxin cuts leverage, but the valuation falls short of expectations and leaves the market divided.

CSN is not going out of business, and CSNA3 shares continue to trade normally. The asset being sold is a subsidiary, CSN Cimentos. In a material fact filing submitted to Brazil's securities regulator, the CVM, this Sunday (Nov 8), Companhia Siderúrgica Nacional reported that it signed a definitive agreement the previous day to sell its cement business to China's Huaxin for an enterprise value of R$ 12.7 billion. This marks the milestone the company needed to finally put its debt-reduction plan into action. You do not need to take any action, but you will not receive a cash payout from this sale either.

CSNA3: What Happened?

On Nov 7, CSN signed a share purchase and sale agreement for CSN Cimentos with Huaxin Building Materials Group. The agreed enterprise value remains subject to adjustments for net debt and working capital at closing. The transaction will only be finalized after receiving the green light from CADE, Brazil's antitrust regulator, ANEEL, the electric power regulator, and Chinese regulatory authorities.

Until now, CSN only held an exclusivity agreement with Huaxin. Now, a binding contract is in place with obligations for both sides. The company stated that it intends to complete the transaction "as soon as" the conditions are met, though it provided no timeline. It also did not disclose how much cash will actually hit its balance sheet after adjustments—a question that remains open.

Was CSNA3 Delisted or Removed from Your Brokerage?

No. The material fact filing makes no mention of a going-private transaction, a public tender offer for CSN shares, or a ticker change. CSN remains the owner of the Volta Redonda plant, its mining operations, and its infrastructure. Only one of its underlying business units is changing hands.

Investors holding CSNA3 keep the exact same shares. Huaxin is purchasing the shares of CSN Cimentos, which were never publicly traded, and paying CSN directly. If the stock is not appearing in your brokerage app, this transaction is not the reason. You should check with your broker.

If nothing vanished, why is everyone searching for the stock? Because the share price dropped sharply. According to our data, CSNA3 closed the trading session on Oct 30 at R$ 3.88, down 8.49% on the day, 56.6% for the year, and 58.6% over the trailing 12 months. That day's drop was tied directly to this sale.

How Did the Deal Come Together, and Why Did the Stock Drop on the Announcement?

The sale of the cement unit had dragged on since the beginning of the year. Due to delays in unlocking the transaction—which had been promised since early in the year—the market even speculated about a potential IPO for the cement arm.

This timeline explains the sell-off. The 11.69% rally on Oct 23, which we covered in our coverage of the surge driven by acquisition rumors, was fueled by a R$ 15 billion figure. When the official number came in lower, a bank cited by Money Times noted that the valuation "landed at the lower end of informal market expectations (R$ 12 billion to R$ 15 billion)." For the company, the price is justified: Huaxin submitted the most advantageous proposal in the process, while a consortium of Votorantim and Cementir had tabled an offer close to R$ 11 billion. According to Monitor do Mercado, the valuation equals approximately 7.5 times projected 2026 EBITDA, estimated at R$ 1.7 billion.

The disappointment centered on the price, which is why the formal signing is welcome news. It removes the risk of the deal falling apart entirely. The next question is how much it actually relieves the company's debt burden.

How Much Will CSN's Debt Fall Because of the Sale?

Substantially, but less than the headline suggests, and the answer depends on who is running the numbers. The transaction sheds both debt and the operating income of the cement unit, which posted record EBITDA in the second quarter of 2026. As a result, leverage falls by less than the absolute debt figure.

MetricBeforePost-SaleSource
Net debtR$ 42.1 billionR$ 29.4 billionXP
Leverage (company methodology)3.5x2.8xXP
Leverage (trailing 12-month EBITDA)~5.5x~4.9xRico aos Poucos estimate
Annual interest expense—~R$ 1.5 billion lowerBradesco BBI

The first two rows come from XP, which estimated that net debt would drop from R$ 42.1 billion to R$ 29.4 billion and consolidated leverage would decline from 3.5x to 2.8x. Our calculation is more conservative. We took the trailing 12-month EBITDA we track of R$ 7.7 billion. That yields R$ 42.1 billion ÷ 7.7 ≈ 5.5x beforehand. Afterward, stripping out the R$ 1.7 billion from the cement segment, we are left with R$ 29.4 billion ÷ 6.0 ≈ 4.9x. S&P is even more pessimistic, projecting leverage above 7.5x in 2026. The methodologies differ, but the signal is identical across all three calculations: the sale improves the picture, but it does not pull CSN out of the risk zone.

The most tangible gain for shareholders lies in interest savings. With roughly 1.326 billion shares outstanding, the savings estimated by Bradesco BBI work out to about R$ 1.13 per share annually, pre-tax. That represents nearly 30% of the R$ 3.88 share price (our calculation). That cash stops flowing to banks and begins bolstering the bottom line.

Why, then, is the stock failing to stage a stronger recovery? In part because enterprise value is not cold cash. Huaxin is assuming the cement division's own debt, and the remainder is subject to closing adjustments. The reference figures do not necessarily represent the net cash proceeds that will arrive on the balance sheet. The filing did not disclose how much cash CSN will ultimately receive.

What Does the Deal Resolve, and What Questions Remain Open for Shareholders?

  • The transaction is no longer a promise: there is a signed contract with a buyer that won a competitive bidding process.
  • Combined with the SWT sale, the transaction moves close to the target. Together, the deals represent approximately R$ 15.8 billion in enterprise value, against a goal of raising between R$ 15 billion and R$ 18 billion through asset sales.
  • Lower interest payments reduce the risk that the company will need to issue shares at depressed prices, which would dilute existing unitholders.
  • No dividend is in sight: the last payout was R$ 0.5505, with an ex-date of Nov 22, 2024, and the proceeds from the sale are earmarked for debt reduction.
  • CSN is parting with the business unit that generated the strongest performance among all its operating segments.
  • There is no timeline for closing, and securing approval in China is a hurdle the Brazilian market has limited ability to forecast.

The balance sheet remains fragile, which was the rationale behind S&P's downgrade of CSN's credit rating in October. The negative outlook signals the risk of another downgrade if asset sales are delayed. In other words, the speed of the closing matters just as much as the price. According to Valor, the company is seeking to advance a portion of the expected sale proceeds with financial institutions precisely to avoid depending on regulators' timelines. Also per Valor, the negotiations with Huaxin are among the factors that led CSN to reassess the necessity of selling other assets, such as its stakes in MRS Logistics and port terminals.

In our portfolio tracking, CSNA3 maintains a "hold" rating with a score of 3.1 out of 10. The signing confirms the positive side of the investment thesis—that the company is capable of selling assets—but it does not alter our reading until the cash actually arrives. Our CSNA3 page featuring quotes, dividends, and filings compiles upcoming announcements. The progress of the sale of its German steel unit, SWT, represents the other half of the equation.

What to Monitor Moving Forward

1

CADE approval: An unconditional approval is the first signal that closing is near. If CADE imposes conditions or requests an extended review, the cash inflow will be delayed.

2

Final price post-adjustments: The further the debt reduction falls below R$ 12.7 billion, the worse it is for the leverage math.

3

Net debt on the balance sheet: Net debt should only drop meaningfully below R$ 42.1 billion in the quarter the sale is completed. If debt climbs before then, cash burn is eating away at the relief.

4

Credit rating: If S&P removes the negative outlook, it will signal that credit risk has eased. Another downgrade would indicate the sale was not enough.
